
Overview
Serge Todorovich is a partner in the Investment Funds & Private Capital practice, based in the New York office. Drawing on his experience as senior in-house counsel, Serge advises private investment fund sponsors and investors on fund formation and operations, compliance and regulatory matters, and strategic transactions, with a particular focus on credit and hedge fund platforms.
A trusted advisor to senior management teams for nearly 20 years, Serge represents multi-asset credit, private credit, distressed credit and hedge fund sponsors across sophisticated fund and related platform matters. Serge regularly counsels fund sponsors on strategic transactions, including seeding arrangements, investment management M&A, risk retention solutions, minority GP stake transactions, revenue-sharing structures and direct lending origination joint ventures. His experience also includes advising on fund financing, derivatives and structured product transactions, including rated note funds.
Prior to joining Paul Hastings, Serge served as chief legal officer and chief compliance officer at Shenkman Capital Management, a registered investment adviser and leader in traditional and alternative credit strategies. In this role, he advised on the establishment of numerous customized separately managed account and fund-of-one mandates with institutional investors, including insurance companies, corporate and public pension plans, sovereign wealth funds, endowments, foundations and family offices.
Serge has also held several other in-house roles, including assistant general counsel at Goldman Sachs and associate general counsel at Eton Park Capital Management.
An active thought leader, Serge is a frequent speaker at industry conferences on regulatory matters impacting the investment management industry. Serge has served on the MFA Legal & Compliance Advisory Council and has been an active member of MFA, LSTA and ISDA steering committees and working groups throughout his career.
