Overview

Diane Holden is Of Counsel in the Corporate department of Paul Hastings and is based in the firm's Atlanta office. She is a member of the Global Fintech and Payments Group, providing transactional, regulatory, and general corporate guidance to banks and non-bank financial institutions, financial services and financial technology companies, payment networks, and investment firms.

Diane is experienced in advising clients on acquisitions, and investments and in negotiating commercial agreements between parties in the global payments space. She also regularly provides guidance on regulatory issues within the payments space with respect to electronic payments, virtual currencies, stored value, and money transmission. 

Diane has expertise in state money transmission statutes, the federal Bank Secrecy Act, Regulation E, and other state and federal statutes related to the provision of payments. Her representative experience includes:

  • Banc of California in its acquisition of Global Payroll Gateway’s payments platform and technology, as well as the company’s wholly-owned subsidiary Deepstack Technologies.
  • GTCR in its $3.5 billion acquisition of AssetMark Financial Holdings.
  • GTCR in its $260 million acquisition of Sage Payment Solutions, Inc. (SPS).
  • GTCR in its acquisition of a majority stake in Worldpay.
  • Integrum in its acquisition of MerchantE, a leading end-to-end payment platform, from Cielo, one of the world’s largest payments companies.
  • Salesforce in its partnership with Stripe to integrate Stripe’s technology into its Commerce Cloud Payments solution.
  • Samsung Pay on its launch, utilizing novel financial services contracts among various parties in the payments ecosystem.
