Paul Hastings Advises Francisco Partners on the Combination of Consignor with Unifau

London – Paul Hastings, a leading global law firm, announced that it advised Francisco Partners on the merger of its portfolio company Consignor, a leading Oslo-based cloud Transport Administration System (TAS) platform, with Unifaun, a leading Stockholm-based cloud TAS platform and a portfolio company of Marlin Equity Partners. Completion of the transaction remains subject to customary regulatory approvals.

These two leading providers of TAS software will combine to offer shippers, carriers, and parcel recipients globally best-in-class solutions for shipping and handling of goods. Francisco Partners and Marlin Equity Partners will become equal shareholders in, and together own a majority of, the combined business.

Financial details of the transaction have not been disclosed. The deal team advising Francisco Partners was led by Anu Balasubramanian and included Arun Birla, Pierre Kirch and Jamie Holdoway. Norwegian advice was provided by Aabø-Evensen & Co. Marlin Equity Partners was advised by Plesner and Cederquist.

This is the second transaction in the last two months that the Paul Hastings deal team has assisted Francisco Partners with in London, with the proposed acquisition of the international business segment of CDK Global announced in November 2020.
