Paul Hastings Represents Mitsubishi Corporation in a $1.448 Billion Energy Acquisition

EDF/Mitsubishi Gas Natural Deal Marks the Years Largest M&A Deal in Mexico

Los Angeles, CA (November 1, 2007) Paul, Hastings, Janofsky & Walker LLP, a leading international law firm, announced today that the firm advised Mitsubishi Corporation in the sale of a combined cycle gas turbine (CCGT) power plant to Gas Natural, Mexicos main gas distributor. In addition, Gas Natural acquired four CCGT plants and a gas pipeline that feeds these plants from French energy company, EDF International. The transaction, which marks the years largest energy M&A deal in Mexico, is valued at $1.448 billion.

The deal will make Gas Natural Mexicos second largest private operator in power generation, with a total installed capacity of 2,233 megawatts. The transaction, which closed on October 25, 2007, is subject to regulatory approval in both Mexico and France.

"This is a watershed deal for Mexico and Latin America," said Dino Barajas, a New York and Los Angeles-based Global Projects partner who led the Paul Hastings team. "It demonstrates the interest of investors in the Mexican and Latin American energy markets as well as the size that is achievable for deals in these markets."
