Paul Hastings Advises Marvel Entertainment on its $4 billion Acquisition by Disney

New York, NY (September 2, 2009) - Paul, Hastings, Janofsky & Walker LLP, a leading global law firm, announced today that the firm advised Marvel Entertainment, Inc. on its acquisition by The Walt Disney Company. The agreement, valued at approximately $4 billion, was announced on August 31, 2009 and was structured as a cash and stock, tax-free double merger.

Under the terms of the agreement, Disney will acquire ownership of Marvel including its portfolio of more than 5,000 Marvel characters. The transaction is subject to clearance under the Hart-Scott-Rodino Antitrust Improvements Act, the approval of Marvel shareholders, and other customary closing conditions.

New York partner Michael Zuppone, San Diego partner Carl Sanchez, and San Diego senior associate Claudia Simon led the Paul Hastings team, which also included partners Douglas Schaaf, Stephen Harris and Jane Song, and of counsel Keith Pisani.
