MSC Software To Be Acquired by Hexagon for $834 Million

San Francisco – Paul Hastings LLP, a leading global law firm, announced today that the firm advised MSC Software and its majority stockholder Symphony Technology Group with respect to Hexagon AB’s agreement to acquire MSC for US$834M on a cash and debt free basis. MSC Software is a leading provider of computer-aided engineering (CAE) solutions, including simulation software for virtual product and manufacturing process development.
M&A partner Steve Camahort and M&A of counsel Jeff Wolf led the Paul Hastings team, which also included tax partner Ziemowit Smulkowski, IP partners Matthew Berger and Tiffany Lee, Employment partner Dan Stellenberg,  Export/CFIUS partner Scott Flicker, Competition law partner MJ Moltenbrey and of counsel Ron Ben-Yehuda, and associates Yoav Simchoni, Noah Metz, Lauren Kelly Greenbacker, Ashley Pyon and Michael Wise.

The transaction is subject to regulatory approvals and other customary conditions and is expected to close in April. It will be fully financed via bank facilities.
